asd123 you are trying to copy that shell folder to the aero theme folder that is default on windows from that pic your showing

The reason its asking you for permission is the aero theme you will need to take ownership of that theme and whats inside it to have that folder replace the ones in the aero folder as its locked to the trusted installer and you dont have permission to edit that at the moment.

Just use this tutorial to take owner ship of that folder inside the aero theme folder and then you will be able to replace it :

I will also add that it looks from your screenshot that you are running the aero theme there as well if you have that theme applied you wont be able to replace folders inside the theme cause its in use.
