1. Open regedit. (open startmenu enter "regedit" in search and hit enter)
2. Go to HKEY_CLASSES_ROOT\*\shell
3. Right-click on “shell” and choose to create a new key, calling it “Open with Photoshop” in this case.

4. Create a new key below calling it “command”

5. Double-click on the (Default) value in the right-hand pane and enter in the following:
C:\Program Files\Adobe\Adobe Photoshop CS5 (64 Bit)\Photoshop.exe %1

Now let's add icon
1. Right-click on Open with Photoshop and click "new" and then "expandable string value". Name the new value "Icon".

2. Right Click on "Icon" and click modify and in the edit string dialog enter the path of the icon file.(the file must have .ico extension)

Small addition.
-If you want a system icon then open shell32.dll or imageres.dll with Restorator or Reshacker find icon you like and remember number of that icon. Then enter the path of the icon like this.
C:\Windows\System32\shell32.dll,-16763
